MANUFACTURER’S LIMITED STRUCTURAL
PERFORMANCE WARRANTY
Unirac, Inc., (“Unirac”) warrants to the buyer (“Buyer”) at the original installation site (“Site”) that any of the components (the “Product”) purchased from Unirac shall be free from structural defects in material, workmanship and performance as referenced in the Unirac Product Information, for a period of ten (10) years, except for the anodized finish, which finish shall be free from visible peeling, or cracking or chalking under normal atmospheric conditions for a period of five (5) years (“Finish Warranty”), from the earlier of 1) the date the installation of the Product at the Site is substantially complete, or 2) 120 days after the purchase of the Product by the original Buyer of the Product (“Warranty Period”). Buyer may transfer this Warranty to subsequent owners, or if Buyer is a contractor to the property owner. In this Warranty, the term “Buyer” refers to the original buyer and any subsequent transferee. Proof of purchase is required. The Finish Warranty does not apply to any foreign residue deposited on the finish. All installations in corrosive atmospheric conditions are excluded. The Finish Warranty is VOID if the practices specified by AAMA 609 & 610-02 – “Cleaning and Maintenance for Architecturally Finished Aluminum” (www.aamanet.org) are not followed by Purchaser. This Limited Warranty covers only the Product, and not PV modules, electrical components and or wiring used in connection with the Product or any other materials not provided by Unirac. This Warranty does not cover damage to the Product that occurs during its shipment, storage, and installation or from force majeure acts including fire, flood, earthquake, storm, hurricane or other natural disaster, war, terrorist activities, acts of foreign enemies and criminal acts. This Limited Warranty shall be void if A) installation of the Product is not performed in accordance with the Unirac Product Information, B) if the Product has been modified, repaired, or reworked in a manner not previously authorized by Unirac in writing, or C) the Product is installed in an environment for which it was not designed, each as determined by Unirac in Unirac’s sole discretion. If, within the Warranty Period, the Product shall be proven in Unirac’s sole discretion to be defective, then Unirac shall repair or replace the defective Product, or any part thereof, at Unirac’s option. Any such repair or replacement does not cause the beginning of new warranty terms, nor shall the Warranty Period of this Limited Warranty be extended. Unirac’s aggregate liability under this Limited Warranty shall not exceed the original Purchase Price of the Product. Buyer shall bear all costs of shipment or transportation related to the repair or replacement of the defective product. Such repair or replacement shall be Buyer’s sole remedy under this Limited Warranty and shall fulfill all of Unirac’s obligations with respect to this Limited Warranty. EXCEPT FOR THE LIMITED WARRANTY EXPRESSED ABOVE, UNIRAC MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER AND HEREBY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING AND USAGE OF TRADE.
UNIRAC SHALL NOT BE LIABLE FOR LOSS OF USE, REVENUE OR PROFIT, OR FOR INDIRECT, SPECIAL, PUNITIVE, LIQUIDATED, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY OTHER LOSS OR COST OF A SIMILAR TYPE, OR FOR CLAIMS BY BUYER FOR DAMAGES OF BUYER’S CUSTOMERS, CLAIMS OF THIRD PARTIES OR INJURY TO PERSONS OR PROPERTY ARISING OUT OF ANY DEFECT IN THE PRODUCT COVERED BY THIS WARRANTY. ALL SUCH DAMAGES AND EXPENSES ARE HEREBY EXCLUDED.

LIMITED WARRANTY ON SOLARMOUNT-E COMPONENTS
Unirac, Inc., (“Unirac”) provides the “Warranty Coverage” described herein to the “Buyer” of any SOLARMOUNT-E component purchased directly from Unirac and used only at its original installation site (the “Product”). Warranty Coverage shall apply if a Product:
- exhibits a structurally-relevant deviation from published performance data within a period of ten (10) years from date of Product manufacture (“Structural Warranty”);
- has an anodized finish which deviates from published data resulting in visible peeling, cracking or chalking under normal atmospheric conditions within a period of five (5) years from date of Product manufacture (“Finish Warranty”); or
- is advertised in writing by Unirac as having a 20 year warranty, and such Product exhibits a functionally-relevant deviation from Unirac’s manufacturing specifications for material or workmanship within a period of 20 years from date of Product manufacture (“Manufacturing Warranty”).
A Product shall be considered a “Deficient Product” if Buyer provides written notification of an above-described deviation to Unirac within the associated warranty period, and proves to Unirac’s satisfaction that the deviation exists. Unirac shall, at its sole option and discretion, either repair, replace with a comparable product, or refund Buyer’s purchase price of, a Deficient Product (“Remedy”). Absence of Unirac’s receipt of written notification within a warranty period shall constitute a waiver of all claims under the associated warranty.
This Warranty Coverage may be transferred to a subsequent owner of the Product. A Unirac-issued document showing the Product purchase date is required for Warranty Coverage. The Finish Warranty does not cover problems caused by physical damage or contact with any foreign substance. Product installed in corrosive conditions, as determined solely by Unirac, is excluded from Warranty Coverage. The Finish Warranty is void if the practices listed in AAMA 609 & 610-02 – “Cleaning and Maintenance for Architecturally Finished Aluminum” (www.aamanet.org) are not followed by Buyer. This Limited Warranty covers only the Product, and not PV modules, electrical components or wiring used in connection with the Product, or any other materials not provided by Unirac. This Limited Warranty does not cover damage to the Product that occurs during its post-sale shipment, storage, or installation, or from force majeure acts including fire, flood, earthquake, storm, hurricane or other natural disaster, war, terrorist activities, acts of foreign enemies and criminal acts. The Warranty Coverage shall be void if, in Unirac’s sole opinion: a) installation of the Product was not performed in accordance with the Unirac Product instructions; b) the Product was modified, repaired, or reworked in a manner not authorized in writing by Unirac; or c) the Product was installed in an application for which it was not designed. Unirac’s performance of a Remedy shall not cause the beginning of a new warranty period, nor otherwise extend the warranty period. Unirac’s aggregate liability under this Limited Warranty shall not exceed the original purchase price of the Product. Buyer shall bear all costs of shipment and transportation related to the repair or replacement of Deficient Product. The Remedy is Buyer’s sole remedy and Unirac’s sole obligation with respect to the Product and this Limited Warranty.
EXCEPT FOR THIS LIMITED WARRANTY, UNIRAC MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHATSOEVER REGARDING THE PRODUCT AND DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COURSE OF DEALING AND USAGE OF TRADE.
IN NO EVENT SHALL UNIRAC BE LIABLE FOR, AND BUYER HEREBY AGREES TO INDEMNIFY UNIRAC FROM AND AGAINST, ANY AND ALL CLAIMS AND COSTS, INCLUDING ATTORNEY’S FEES, ARISING IN ANY WAY FROM THE SALE, USE OR INABILITY TO USE THE PRODUCT, BASED ON: LOSS OF USE, REVENUE OR PROFIT; DIRECT, INDIRECT, SPECIAL, PUNITIVE, LIQUIDATED, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGE; OR INJURY TO PERSONS OR PROPERTY.
The rights, obligations and limitations contained herein are specifically negotiated as part of the agreement between the parties, and represent the specific intent to allocate risks, including those arising due to each party’s own negligence or breach, and the potential of the warranty failing of its essential purpose.
